About The Role

We're building the legal infrastructure to power a crowdfunding and exchange platform — think everything required to launch, operate, and scale a compliant securities marketplace. This means a lot of work is coming, and we need someone who can hit the ground running.

Ideally, you become our Fractional Chief Legal Counsel — owning the legal function, working closely with the founder, and scaling with us as we grow. If you're looking for interesting, high-stakes securities work with a seat at the table, this is it.

The founder has drafted initial offering documents with AI assistance. We need an experienced securities attorney to review, refine, and approve these materials — then help us build out the legal framework for everything that comes next.

Compensation

Up to $800,000 max total compensation in Tier 1 cities; cash and equity components to be negotiated (amount reflects combined cash and equity components).

What Success Looks Like in 30 Days

  • You've reviewed, improved, and approved our existing offering documents (506(b + c) SAFE documents, PPM, cover letters, questionnaires, etc.)
  • You've created or overseen the creation of our ESOP structure and related documentation
  • You're overseeing all related securities issuances and ensuring compliance
  • You've established yourself as the legal authority on the team and built trust with the founder

What Success Looks Like in 60 Days

  • You've mapped out the legal and regulatory requirements for our crowdfunding-like platform
  • You've drafted or reviewed key platform documents: Privacy Policy, Terms of Service, User Agreements, and related disclosures
  • You've identified any licensing, registration, or exemption requirements and developed a compliance roadmap
  • You're advising on platform architecture decisions with legal/regulatory implications

What Success Looks Like in 90 Days

  • You've built out the legal framework for transactions on the platform
  • You've addressed compliance requirements for related SaaS service offerings (e.g., investor accreditation verification, KYC/AML, document management)
  • You're advising on issuer onboarding requirements and investor protections
  • You've established scalable legal processes and templates that reduce ongoing legal friction

What You'll Do

  • Serve as primary legal counsel for all securities and regulatory matters
  • Review, draft, and negotiate offering documents, investor agreements, and platform contracts
  • Advise on SEC regulations, state blue sky laws, and exemptions (Reg D, Reg CF, Reg A+, etc.)
  • Develop and maintain compliance policies and procedures
  • Oversee equity compensation programs (ESOP, option grants, SAFEs, etc.)
  • Advise on investor accreditation, KYC/AML, and related compliance requirements
  • Collaborate with product and engineering to ensure platform compliance by design
  • Manage relationships with outside counsel when specialized expertise is required
  • Stay current on regulatory developments affecting crowdfunding and alternative securities markets

What We're Looking For

  • JD with active bar membership (state flexible, but must be in good standing)
  • Deep expertise in securities law — Reg D, Reg CF, Reg A+, blue sky laws, and related exemptions
  • Experience with private placements, crowdfunding platforms, or alternative investment structures
  • Familiarity with FINRA regulations and broker-dealer/funding portal requirements a plus
  • Prior experience at a securities-focused law firm, in-house at a fintech/investment platform, or with the SEC
  • Comfortable working in a fast-paced startup environment with ambiguity and rapid iteration
  • Pragmatic problem-solver — knows when to push back and when to find a way
  • Strong communicator who can translate legal complexity into actionable guidance
  • Bonus: Experience with equity compensation, corporate governance, and general commercial contracts
