Corporate Counsel — Family Office / Private Equity

The Opportunity
We're seeking a Corporate Counsel to support our legal function across the Skybox family of companies. Reporting to our Director of Operations, you'll handle day-to-day legal matters while gaining exposure to private equity transactions, multi-jurisdictional compliance, and complex corporate structures.
This is a hands-on role ideal for an attorney who wants to combine traditional legal skills with cutting-edge technology. You'll use AI tools and legal software to draft contracts, conduct research, and analyze issues efficiently — ensuring outside counsel is engaged only when truly necessary.
You'll work across a diverse portfolio of operating companies and investments, supporting corporate governance, compliance, commercial transactions, and employment matters in the U.S. and internationally.
What You'll Do
Contract & Commercial Work
- Draft, review, and negotiate commercial agreements across all portfolio companies
- Prepare and manage vendor contracts, NDAs, service agreements, and licensing deals
- Develop contract templates and playbooks to streamline negotiations
- Support business teams in structuring deals that balance risk and commercial objectives
Corporate Governance & Compliance
- Maintain corporate records and ensure proper governance for multiple entities
- Support entity formation, dissolution, and restructuring projects
- Ensure compliance with state, federal, and international regulatory requirements
- Assist with compliance for GoTickets across multiple U.S. jurisdictions
- Monitor regulatory changes and advise on impact to portfolio companies
Employment & HR Legal Support
- Partner with HR on employment agreements, offer letters, and separation agreements
- Advise on employment law compliance, including classification, wage and hour, and leave policies
- Support international employment matters for offices in Israel, Canada, India, and the Philippines
- Assist with HR policies and handbook updates
AI-Driven Legal Practice
- Use AI tools (e.g., Harvey, CoCounsel, Spellbook, Casetext) to conduct legal research and draft documents
- Leverage technology to review contracts, identify risks, and prepare analysis before escalating to outside counsel
- Identify opportunities to automate and streamline legal workflows
Transaction & Investment Support
- Assist with due diligence for acquisitions, investments, and divestitures
- Review and analyze transaction documents and investment agreements
- Coordinate with outside counsel on complex transactions
- Support real estate and asset management legal matters at Magnolia Capital
Risk Management & Regulatory Communication
- Advise leadership on data privacy, cybersecurity, and regulatory compliance matters
- Review and assess international supplier and manufacturing agreements in China, Vietnam, and other jurisdictions
- Help develop and implement policies to mitigate legal and compliance risks
- Communicate with regulatory agencies and government bodies as needed on compliance and licensing matters
Who You Are
Required:
- J.D. and active bar membership (U.S.)
- 3–6 years of legal experience, ideally including in-house or law firm experience with corporate, commercial, or transactional work
- Strong contract drafting and negotiation skills
- Familiarity with corporate governance and compliance fundamentals
- Excellent written and verbal communication skills
- Ability to provide practical, business-oriented legal advice
- Must be able to work in our Chicago office 3-4 days per week minimum
Ideal:
- Experience with private equity, family offices, venture capital, or multi-entity organizations
- Exposure to international legal matters and multi-jurisdictional compliance
- Demonstrated use of AI tools in legal workflows
- Background in employment law or data privacy
- Experience managing or coordinating with outside counsel
