About the Firm
Venture Equities is a private investment platform headquartered in Miami that executes control and non control transactions across private equity, structured equity, special situations, and public markets. The firm partners with private credit funds, BDCs, hedge funds, family offices, and institutional investors to structure and execute capital solutions for both private and public companies. We are expanding our structured equity and PIPE investment activity as part of a broader multi sector strategy and are hiring a senior leader to build and drive this vertical.
Role Overview
The Director of PIPE and Structured Equity will lead the evaluation, underwriting, and execution of private investments in public equities and other customized equity and credit linked structures. This individual will serve as the primary point of contact for bankers, public company management teams, institutional investors, and capital partners focused on public markets transactions.
This is a senior role that requires maturity, judgment, and the ability to independently run transactions across origination, diligence, structuring, negotiation, and investment committee presentation. The Director will work closely with the founder on strategic expansion initiatives and will play a key role in shaping the growing public markets arm of the firm.
Key Responsibilities
• Lead origination and screening of PIPE transactions, structured equity opportunities, convertible structures, anchor allocations, follow on offerings, and block trades
• Oversee all underwriting efforts including financial modeling, valuation work, capital structure analysis, scenario planning, and return projections
• Evaluate public company filings, earnings materials, analyst research, regulatory disclosures, and investor sentiment
• Drive transaction execution including diligence oversight, market sounding, data room review, negotiations, and coordination with legal and banking counterparties
• Build and maintain deep relationships with hedge funds, BDCs, private credit funds, family offices, ECM desks, and other institutional investors active in PIPE transactions
• Represent the firm in discussions with public company management teams and advisors
• Prepare internal investment memos, transaction recommendations, and committee materials
• Monitor public markets trends and identify actionable opportunities across multiple sectors
• Work with the founder to expand the structured equity strategy and integrate public market capital solutions into the firms broader multi sector private equity platform
• Support fundraising efforts for deal by deal transactions and future fund products
• Guide junior team members on modeling, diligence, and deal execution when needed
Qualifications
• Seven to twelve years of professional experience in equity capital markets, PIPE investing, private credit, hedge fund investing, investment banking, or private equity
• Demonstrated experience executing PIPE or structured equity transactions or significant exposure to public company capital markets
• Advanced financial modeling and valuation capability with strong attention to detail
• Ability to manage complex transaction dynamics and communicate clearly with senior executives, investors, and advisors
• Strong understanding of SEC filings, public markets disclosure, and shareholder dynamics
• Entrepreneurial mindset with the ability to work in a fast moving environment and take ownership of a business line
• Excellent writing, communication, and presentation skills
• Integrity, judgment, and the highest professional standards
Compensation
Competitive senior level compensation with performance based bonuses and meaningful carried interest participation in structured equity and PIPE transactions. Additional long term incentives may be available based on performance and contribution to the growth of the platform.
Location
Miami is preferred. Exceptional candidates may work remotely with periodic travel for meetings, diligence sessions, conferences, and transaction execution
